3. Booking and Scheduling

Discovery Calls

When you book a discovery call through our website, you agree to:

• Provide accurate and complete contact information
• Be available at the scheduled time or notify us of any changes at least 24 hours in advance
• Participate in the call in good faith for the purpose of discussing potential business automation solutions

Cancellations and Rescheduling

We understand that schedules change. If you need to cancel or reschedule a discovery call:

• Please notify us at least 24 hours before your scheduled appointment

• Repeated no-shows may result in restrictions on future bookings

4. User Responsibilities

When using our Services, you agree to:

Client Work Product

Unless otherwise specified in a separate service agreement, intellectual property rights for custom work created specifically for you will be addressed in the applicable statement of work or service agreement.

• Treat all non-public information shared during consultations as confidential
• Use confidential information only for the purpose of providing our Services

Discovery calls are provided free of charge. For paid services:

• All fees are non-refundable unless otherwise stated in the service agreement
• Late payments may incur additional fees or result in suspension of Services

8. Disclaimers

While we strive to provide accurate information and effective solutions, the success of automation implementations depends on many factors, including your specific business processes, systems, and implementation of our recommendations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Automly.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
• Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim
• These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such cases, these limitations will apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Automly.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content or information you provide to us.

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment for services rendered
• At our sole discretion for any other reason

Upon termination, your right to use our Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Automly.ai operates, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall first be attempted to be resolved through good faith negotiation. If such negotiation is unsuccessful, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Automly.ai regarding the use of our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
